Grace Wine Holdings Limited will convene its annual general meeting on 5 June 2026 at 10:00 a.m. at 23/F, Lee Garden One, 33 Hysan Avenue, Causeway Bay, Hong Kong.
Key ordinary resolutions:
• 2025 financial statements: Shareholders will be asked to receive and consider the audited consolidated results for the year ended 31 December 2025 together with the directors’ and independent auditor’s reports.
• Board composition: Eight directors are nominated for re-election—executive directors Mr. Liu Yunqiang, Mr. Zhao Mingjun and Ms. Xiong Xia; non-executive directors Dr. Cheung Chai Hong and Mr. Zhao Guodong; and independent non-executive directors Mr. Leung Ming Shu, Dr. Wang Renrong and Dr. Xu Yan. The board will subsequently fix directors’ remuneration.
• Auditor: Ernst & Young is proposed for re-appointment for the ensuing year, with remuneration to be set by the board.
• Capital mandates: Directors seek a general mandate to allot and issue new ordinary shares, a separate mandate to repurchase shares, and an extension of the issue mandate by the number of shares repurchased.
Special resolution:
• Corporate governance update: Shareholders will vote on amendments to the Memorandum and Articles of Association and the adoption of new Articles.
