Samsonite buys back 1.38 million shares; outstanding share count falls to 1.38 billion

Samsonite Group S.A. disclosed that on 21 May 2026 it repurchased 1.38 million ordinary shares on the Hong Kong Stock Exchange.

• Purchase details: Shares were bought at prices between HKD 14.65 and HKD 14.97, with a volume-weighted average cost of HKD 14.81. The cash outlay totalled HKD 20.46 million.

• Impact on share capital: – Issued shares outstanding (excluding treasury shares) declined from 1.38 billion to 1.38 billion, a reduction of 0.10%. – Treasury shares increased from 86.03 million to 87.41 million. – The overall share count, including treasury shares, remained unchanged at 1.47 billion.

• Mandate utilisation: The current buy-back lifts cumulative repurchases under the 3 June 2025 mandate to 8.11 million shares, equivalent to 0.59% of the share base at the time the mandate was granted. Samonsite is authorised to repurchase up to 138.31 million shares under this mandate.

• Moratorium: In accordance with listing rules, the company cannot issue new shares or dispose of treasury shares until 20 June 2026.

The repurchase was authorised by the board and executed in compliance with Hong Kong listing regulations, according to the company’s filing signed by Joint Company Secretary John Bayard Livingston.
