Fulu Holdings Limited will convene its annual general meeting on 4 June 2026 at 11:00 a.m. on the 14th Floor of Building B27, Optics Valley Financial Port, Wuhan. Shareholders will decide on six ordinary resolutions that focus on routine governance matters and refreshed capital-management authorities.
1. Financial statements • Adoption of the audited consolidated results for the year ended 31 December 2025, together with the directors’ and auditor’s reports.
2. Board composition and remuneration • Re-election of Executive Director Fu Xi and Independent Non-Executive Director Wang Yuyun. • Authorisation for the board to determine directors’ remuneration.
3. Auditor • Re-appointment of HLB Hodgson Impey Cheng Limited as external auditor and authorisation for the board to set its fee.
4. General mandate to issue shares • Directors may allot, issue or deal with additional shares up to 20% of the company’s issued share capital, with authority to extend the mandate by the number of shares repurchased under the buy-back mandate (capped at 10%).
5. Share buy-back mandate • Authority for the company to repurchase up to 10% of its issued shares on the Hong Kong Stock Exchange or other recognised exchanges, in compliance with the Listing Rules and relevant regulations.
6. Extension of share-issue mandate • Conditional on the above mandates being approved, the share-issue limit will be expanded by the number of shares bought back, representing a possible additional 10% of issued capital.
Administrative timeline • Register of members closes from 1 June to 4 June 2026 (both days inclusive); share transfers must be lodged by 4:30 p.m. on 29 May 2026 to qualify for attendance and voting. • Proxy forms and relevant authorities must reach Computershare Hong Kong Investor Services Limited by 11:00 a.m. on 2 June 2026.
