Tong Ren Tang Technologies Co. Ltd. has issued a notice convening its 2025 Annual General Meeting (AGM) for 10:00 a.m. on 12 June 2026 at No. 28 Tiangui Avenue, Daxing District, Beijing.
Key proposals to be tabled:
1. Financial Reporting • Approval of the audited consolidated financial statements for the year ended 31 December 2025. • Endorsement of the Board’s annual report for the same period.
2. Shareholder Returns • Final dividend of RMB0.18 (tax inclusive) per share for FY 2025.
3. Auditor Reappointments • Ernst & Young to continue as overseas auditor for FY 2026; Board authorized to set remuneration. • Ernst & Young Hua Ming LLP to remain as domestic auditor for FY 2026; Board authorized to set remuneration.
4. Governance Updates • Amendments to the Rules of Procedures of Shareholders’ General Meetings. • Amendments to the Articles of Association (special resolution).
5. Share Issuance Mandate (Special Resolution) • General mandate authorizing the Board to allot, issue or deal with additional shares—up to 20% of the company’s issued share capital (excluding any treasury shares) as at the date of AGM approval. • Authority extends to making or granting offers, agreements, and share conversion rights during the “Relevant Period” (from AGM approval until the next AGM or earlier revocation). • Board empowered to amend the Articles of Association to reflect any resultant changes in share capital.
