The Executive of the Hong Kong Takeovers and Mergers Panel on 3 June 2026 released a Rule 22 disclosure detailing transactions by Morgan Stanley & Co. International plc (MSIP) involving derivatives linked to ENN Energy Holdings Limited in connection with the company’s proposed privatisation by scheme of arrangement.
MSIP executed nine unsolicited client-facilitation purchases on 2 June 2026, acquiring a total of 54,710 derivative-linked shares for US $2.94 million. The largest single buy was 17,486 shares maturing on 26 July 2027, valued at US $0.94 million.

Reference prices for the purchases ranged from US $53.35 to US $53.81 per share, while sales were executed between US $53.34 and US $53.85. The disclosed derivatives—classified as “other types of products”—carry maturities stretching from 21 January 2027 to 16 May 2033.
MSIP is identified as a Class (5) associate connected with the offeror and confirmed that all dealings were conducted for its own account. The resultant balance of the reported positions was stated as zero, indicating offsetting at trade completion.
