China Modern Dairy Announces 5 June 2026 AGM to Seek Director Re-election, KPMG Re-appointment and New Issuance & Buy-back Mandates

China Modern Dairy has scheduled its 2026 annual general meeting for 5 June 2026 at JW Marriott Hotel Hong Kong, starting at 9:30 a.m. Key agenda items include:

• Financial Statements: Shareholders will review the audited consolidated results for the year ended 31 December 2025 and the accompanying reports of directors and auditors.

• Board Composition: Resolutions will be put forward to re-elect six directors—Mr Chen Yiyi, Mr Shen Xinwen, Mr Wen Yongping, Ms Gan Lu and Mr Li Shengli—and to authorise the board to set directors’ remuneration.

• Auditor Mandate: The meeting will vote on re-appointing KPMG as external auditor for the financial year ending 31 December 2026, with authority granted to the board to determine remuneration.

• Issuance Mandate: Directors seek a general mandate to allot, issue or deal with additional shares—representing up to 20% of the company’s issued share capital (excluding treasury shares)—during the period from the AGM to the next AGM or earlier mandate revocation.

• Share Buy-back Mandate: A separate resolution proposes authority to repurchase up to 10% of issued shares (excluding treasury shares) over the same mandate period.

• Mandate Extension: Subject to approval of the above two mandates, repurchased shares could be added to the pool available for new issues, effectively increasing flexibility for capital management.

• Option Agreement Extension: Shareholders will consider a 12-month extension of the exercise period for the option granted on 1 February 2024, along with a specific mandate to issue the related option shares upon Stock Exchange approval.

Administrative details include proxy submission deadlines (48 hours before the meeting) and a register-of-members closure from 2 June to 5 June 2026. The record date for AGM voting rights is 5 June 2026.
