GW Tiandi Proposes Comprehensive Amendments to Constitutional Documents Ahead of AGM

GW Tiandi announced that its Board will seek shareholder approval at the forthcoming annual general meeting (AGM) for a package of amendments to the company’s second amended and restated Memorandum of Association and amended and restated Articles of Association.

Key proposed changes include:

1. Capital Structure Alignment • Updating the par value of shares to mirror the share-consolidation exercise disclosed on 24 January 2025 and detailed in the circular dated 31 March 2025.

2. Digital Corporate Governance • Authorising hybrid or fully electronic general meetings and permitting electronic voting.

3. Treasury Share Flexibility • Enabling the company to hold and deal with repurchased shares as treasury shares, providing greater flexibility in capital management.

4. Compliance with Expanded Paperless Listing Rules • Incorporating revisions required by the Stock Exchange’s recent enhancements to the paperless listing regime.

5. Uncertificated Securities Market Readiness • Reflecting the forthcoming “Issuer Platform” and related regulatory framework for uncertificated securities outlined by the Stock Exchange in May 2025.

6. House-Keeping Updates • Implementing miscellaneous updates for consistency and clarity within the constitutional documents.

Subject to the passing of a special resolution at the AGM, the company will adopt a third amended and restated Memorandum of Association and a second amended and restated Articles of Association, replacing the current versions in full. A detailed circular and AGM notice will be dispatched to shareholders in due course.
