Man Wah Holdings Limited disclosed a forthcoming reshuffle in its board structure, centred on the retirement of Independent Non-Executive Director (INED) David Chau and the proposed appointment of Chan Hak Kan as his successor.
David Chau, who has served as an INED, Audit Committee Chairman and member of both the Nomination and Remuneration Committees, will step down at the conclusion of the company’s annual general meeting (AGM) scheduled for 3 July 2026. Chau cited other business commitments and confirmed no disagreements with the board or matters requiring shareholder attention.
To fill the vacancy, the board will seek shareholder approval at the same AGM to appoint Chan Hak Kan, aged 50, as an INED. Chan holds bachelor’s and master’s degrees in social science from The Chinese University of Hong Kong and has extensive public-service and corporate governance experience, including current independent directorships at five Hong Kong-listed companies. Subject to approval, Chan will enter a three-year service contract with an annual director’s fee of HK$0.43 million.
Post-AGM, further committee realignments are planned: 1. Yang Siu Shun will assume the role of Audit Committee Chairman. 2. Lam Yin Shing, Donald will join both the Audit and Nomination Committees.
The board expressed appreciation for Chau’s contributions and extended a welcome to Chan ahead of the anticipated transition.
