WG ENV TECH AGM: 100% Support for All Six Resolutions; 20% Issuance and 10% Buy-Back Mandates Secured

WG ENV TECH (Weigang Environmental Technology Holding Group Limited) reported that shareholders gave unanimous consent to every agenda item at the 2 June 2026 annual general meeting (AGM). A total of 856.09 million votes—representing 64.29% of the 1.33 billion issued shares—were cast, and each resolution received a full 100% “FOR” vote with zero opposition.

Key outcomes:

1. 2025 Financial Statements • The audited consolidated financial statements for the year ended 31 December 2025, together with the directors’ and auditor’s reports, were formally adopted.

2. Board Composition and Remuneration • Executive Director Mr. Cai Zhuhua was re-elected. • Independent Non-Executive Director Mr. Xiao Hui was re-elected. • The Board received authority to determine directors’ remuneration.

3. Auditor Re-appointment • Baker Tilly Hong Kong Limited was re-appointed as external auditor, with fees to be set by the Board.

4. Capital Management Mandates • General issuance mandate: Directors may allot and issue shares up to 20% of current issued share capital. • Share repurchase mandate: The Board may buy back shares up to 10% of issued share capital. • Extension mandate: Shares repurchased under the 10% buy-back authority may be added to the 20% issuance limit.

• Baker Tilly Hong Kong Limited also served as meeting scrutineer. • Chairman and Executive Director Mr. Cai Zhuhua, together with Executive Directors Mr. Dong Honghui and Mr. Li Kaiyan, attended in person; three Independent Non-Executive Directors joined by telephone.

All resolutions were ordinary and required a simple majority, which was comfortably exceeded. The new mandates provide the Board with increased flexibility for capital management and corporate actions in the coming year.
