The board of GUOQUAN (02517) has resolved to propose the adoption of a 2026 H-share incentive plan.

The primary objectives of this 2026 H-share incentive plan are as follows: to attract and retain qualified participants who have made significant contributions to the group's long-term growth and success, while also recognizing and rewarding their past efforts; to encourage these participants to make further contributions to the company and to commit to enhancing the value of the company and its shares for the overall benefit of the company and its shareholders; to strengthen the company's long-term compensation and incentive strategy; and to align the interests of the qualified participants with those of the company and its shareholders, thereby promoting the company's long-term financial, business, and operational performance.

The source of the incentive shares under the 2026 H-share plan will be either existing treasury shares transferred by the company, H-shares purchased by the trustee in the market (whether on-exchange or off-exchange), or a combination of both.
