On July 14th, LVGEM CHINA (00095.HK) released the results of the consent solicitation concerning six series of guaranteed commercial papers maturing in 2025.
The company is pleased to announce that the special resolutions for all six series of notes have been formally passed. The required consents have been obtained for all series, thereby fulfilling the consent conditions outlined in the consent solicitation notice.
Approval Method for Each Series
The special resolutions for each series of notes were approved in the following manner. The electronic/non-electronic consent deadline was 4:00 PM London time / 11:00 PM Hong Kong time on July 7, 2026. The company is pleased to announce that, prior to this deadline, the special resolutions for the following series were approved via electronic/non-electronic consent, with each series receiving approval from noteholders representing not less than 90% of the then-outstanding principal amount.
Noteholder Meetings
Meetings for noteholders of the following series were convened in accordance with the provisions of the consent solicitation notice on July 14, 2026, at the Linklaters office on the 11th floor of Alexandra House, 18 Chater Road, Central, Hong Kong. The company is pleased to announce that noteholders attending the meetings represented not less than 75% of the then-outstanding principal amount for each series, and the special resolutions for each series of notes were unanimously approved by these noteholders at the meetings.
Next Steps
The consent effective date will take effect as soon as reasonably practicable after the relevant conditions set out in the consent solicitation notice are satisfied (or waived, where appropriate). Upon the consent effective date, the company will arrange (i) the delivery of the new consolidated notes; (ii) the issuance of the relevant shares; and (iii) the payment of the consent fee to consenting noteholders, each to be carried out according to the terms of the consent solicitation notice.
The company will make a further announcement regarding the consent effective date in due course to inform noteholders and shareholders.
