Keep Inc. filed a Next Day Disclosure Return (7 July 2026) showing it repurchased 100,000 ordinary shares on the Hong Kong Stock Exchange at prices between HKD 2.00 and HKD 2.11, for an aggregate HKD 0.20 million. The volume-weighted average price was HKD 2.0489 per share.
The buy-back represents 0.02 % of Keep’s 499.44 million issued shares (excluding treasury stock) outstanding before the transaction. Post-repurchase, shares outstanding declined to 499.34 million, while treasury shares increased to 10.94 million. Total issued share capital remains unchanged at 510.28 million shares.
Under the general mandate approved on 4 June 2026, Keep may repurchase up to 50.24 million shares. Cumulative purchases under this mandate have reached 3.08 million shares, equal to 0.61 % of the share count on the mandate date, leaving about 47.16 million shares—roughly 93.9 % of the limit—still available for future buy-backs.
In addition, a total of 3.52 million shares bought between 6 January and 15 April 2026 remain pending cancellation.
Pursuant to Hong Kong listing rules, Keep is subject to a moratorium on issuing new shares or selling treasury shares until 6 August 2026. The board confirms that all repurchases have been executed in compliance with the Exchange’s requirements.
