Voicecomm Technology Co., Ltd. (“VOICECOMM”) reported that all eight resolutions tabled at the 25 June 2026 annual general meeting in Shanghai were approved by poll.
• Voting turnout and capital structure – Shares in issue: 39.66 million (6.99 million unlisted shares; 32.66 million H shares). – Shares voted in person or by proxy: 4.83 million, representing 12.20 % of shares outstanding. – Computershare Hong Kong Investor Services acted as scrutineer.
• Ordinary resolutions (simple majority required) 1) 2025 annual report: 100 % votes in favour. 2) 2025 profit distribution plan: 84.50 % in favour, 15.50 % abstained. 3) Directors’ remuneration plan: 84.50 % in favour, 15.50 % abstained. 4) Appointment of the Company’s auditor for 2026: 84.50 % in favour, 15.50 % abstained. 5) Change of the Company’s English name: 84.50 % in favour, 15.50 % abstained.
• Special resolutions (two-thirds majority required) 6) General mandate authorising the Board to issue new shares: 84.50 % in favour, 15.50 % abstained. 7) Mandate to repurchase H shares: 84.50 % in favour, 15.50 % abstained. 8) Amendments to the Articles of Association: 84.50 % in favour, 15.50 % abstained.
• Next steps – The amended Articles of Association take effect immediately upon shareholder approval and will be posted on both the HKEX and VOICECOMM websites. – The Company will proceed with the required filings in Hong Kong to effect the change of its English name and will issue further announcements regarding the effective date.
All directors attended the meeting, which was chaired by Board chairman Mr. Tang Jinghua.
