GD-HKGBA HLDGS names Dr. Liu Xiaoyan as Independent Director, restoring HKEX Rule 13.92 compliance

Guangdong – Hong Kong Greater Bay Area Holdings Limited (GD-HKGBA HLDGS) announced that, effective 8 April 2026, Professor Dr. Liu Xiaoyan will join the board as an Independent Non-Executive Director (INED), Chair of the Nomination Committee and member of the Audit Committee.

Dr. Liu, aged 60, is Deputy Dean of Peking University’s School of Integrated Circuits and holds BSc, MSc and DSc degrees from the same institution. Her research portfolio includes more than 200 academic papers, 50 invention patents and multiple national innovation awards. The annual director’s fee is set at HK$180,000.

Concurrently, incumbent INED Mr. Chen Yangsheng has stepped down from the board, the Nomination Committee chair and the Audit Committee to focus on other commitments. Mr. Chen confirmed no disagreement with the board and no matters requiring shareholder attention.

With Dr. Liu’s appointment, the company re-complies with: • HKEX Listing Rule 13.92, which mandates a minimum of three INEDs and representation of INEDs at one-third of the board; and • Corporate Governance Code provision B.3.5, stipulating at least one director of a different gender on the Nomination Committee.

The board welcomed Dr. Liu’s technology expertise, citing its potential to strengthen the group’s AI and micro-nano electronics initiatives and support long-term sustainable development.
