Neutech Group clears all AGM resolutions; declares HK$0.28 final dividend, secures 20% issuance mandate

Neutech Group Limited (Neutech Group, 09616) announced that shareholders approved every motion tabled at the 28 May 2026 Annual General Meeting (AGM) held in Dalian, Liaoning.

Dividend payout • A final dividend of HK$0.28 per ordinary share for FY 2025 was sanctioned. • The dividend will be distributed on or about 18 September 2026 to shareholders on the register as at 4 September 2026. • Based on 646.22 million issued shares, the cash outflow is estimated at approximately HK$180.94 million.

Board composition and auditor re-appointment • Non-executive directors Mr Rong Xinjie and Dr Zhang Yinghui, and independent non-executive director Dr Liu Shulian, were re-elected. • Shareholders authorised the board to determine directors’ remuneration. • Ernst & Young was re-appointed as external auditor, with remuneration to be set by the board.

Capital management mandates • Directors received a general mandate to issue new shares up to 20% of the company’s issued share capital (excluding treasury shares). • A separate mandate allows the repurchase of up to 10% of issued shares. • Conditional on these approvals, the issuance mandate can be extended by the amount of shares repurchased.

Corporate governance update • A special resolution (92.30% approval) endorsed amendments to the Memorandum and Articles of Association, leading to the adoption of the Fourth Amended and Restated version effective 28 May 2026.

Shareholder participation • All eight resolutions gained the requisite majorities, with voter turnout representing 646.22 million eligible shares. • No shareholders abstained or were required to abstain, and no treasury shares were outstanding.

Key dates • Last day to transfer shares for dividend entitlement: 1 September 2026 (4:30 p.m.). • Register closure: 2–4 September 2026. • Dividend payment date: on or about 18 September 2026.

All directors attended the AGM in person or electronically, affirming governance continuity following the comprehensive approval of agenda items.
