Huisheng International Holdings Limited has issued a notice convening its annual general meeting (AGM) for 30 June 2026 at 2:00 p.m. in Hong Kong. Key items on the agenda include the following:
1. Financial Statements Approval Shareholders will vote on receiving and adopting the audited consolidated financial statements, together with the directors’ and auditors’ reports, for the year ended 31 December 2025.
2. Board Composition • Re-election of Executive Director Mr. Zhang Zhenghua. • Re-election of Independent Non-Executive Director Mr. Huang Ruilin. • Authorisation for the board to determine directors’ remuneration.

4. Share Issuance Mandate The board seeks a general mandate to allot, issue or transfer shares up to: • 20% of the company’s issued share capital (excluding treasury shares) as at the date of the AGM; and • An additional amount equal to any shares repurchased under the buy-back mandate (capped at 10% of issued shares). The mandate would cover the period until the next AGM, the expiration of statutory requirements, or its earlier revocation.
5. Share Buy-back Mandate A parallel mandate allows the company to repurchase up to 10% of issued shares (excluding treasury shares) on the Hong Kong Stock Exchange or other recognised exchanges during the same mandate period.
6. Extension of Issue Mandate Subject to shareholder approval, the share issue mandate may be extended by the number of shares repurchased under the buy-back authority.
Key administrative dates: • Register of members closes 25–30 June 2026 (both days inclusive). • Record date for voting entitlement is 30 June 2026. • Proxy forms must be lodged by 2:00 p.m. on 28 June 2026.
As of the notice date, the five-member board comprises Executive Directors Mr. Zhang Zhenghua and Ms. Xiang Yuan, and Independent Non-Executive Directors Dr. Wang Guiping, Mr. Huang Ruilin and Mr. Luo Mingsheng.
