China National Building Material Company Limited (CNBM, stock code: 03323) has issued voluntary notification letters to its Shanghai-listed subsidiary Ningxia Building Materials Group Co., Ltd. and Shenzhen-listed subsidiary Tianshan Material Co., Ltd., extending the performance period of its non-competition undertakings by a further two years.

The latest extension relates to commitments originally set out in December 2017, when CNBM undertook to resolve existing and potential industry competition with the two subsidiaries within three years. Subsequent extensions were granted in December 2020 (three years) and August 2024 (two years). The current notification, dated 9 August 2026, proposes that the undertakings now be fulfilled within two years from the date each subsidiary secures shareholder approval for the extension. All other terms of the 2017 Letters of Undertaking remain unchanged.

CNBM stated it has maintained active communication with relevant parties to formulate a business integration plan for its basic building materials segment. The group emphasised that any solution must safeguard the independence of the listed subsidiaries and maximise public shareholder interests.

The extension requires approval at the respective shareholder meetings of Ningxia Building Materials (SSE: 600449) and Tianshan Material (SZSE: 000877).

Board representation at CNBM currently comprises four executive directors, two non-executive directors and five independent non-executive directors. The announcement was authorised by Executive Director and Board Secretary Miao Xiaoling on 9 August 2026.
