TIL Enviro Publishes AGM Proxy: FY25 Results, Director Re-elections, PwC Re-appointment and New Share Mandates Up for Vote

TIL Enviro Limited has released the proxy form for its 2026 annual general meeting, scheduled for 23 June 2026 at 10:30 a.m. in Hong Kong.

Key ordinary resolutions: 1. Approval of the audited consolidated financial statements and the directors’ and auditor’s reports for the financial year ended 31 December 2025. 2. Board changes: • Re-election of non-executive director Mr Lim Chin Sean. • Re-election of independent non-executive director Mr Tam Ka Hei Raymond. • Authorisation for the board to determine directors’ remuneration. 3. Re-appointment of PricewaterhouseCoopers as external auditor with board-approved remuneration. 4. Authorization for the board to issue new shares representing up to 20% of the company’s issued share capital (excluding treasury shares). 5. Authorization to repurchase shares representing up to 10% of issued share capital (excluding treasury shares). 6. Extension of the 20% issue mandate by the number of shares repurchased under the 10% mandate.

Special resolution: 7. Adoption of the third amended and restated memorandum and articles of association, replacing the current version immediately after the AGM.

Shareholders intending to vote by proxy must submit the completed form, together with any relevant authority documents, to Computershare Hong Kong Investor Services Limited no later than 48 hours before the meeting time.
