YIBIN BANK Sets 25 June 2026 for 2025 AGM; Dividend Record Date and Board Election on Agenda

Yibin City Commercial Bank Co., Ltd. (YIBIN BANK) will convene its 2025 annual general meeting at 15:00 on Thursday, 25 June 2026, in the third-floor conference room of Kelton Hotel, Yibin, Sichuan Province, China. Shareholders registered by the close of business on 25 June 2026 are eligible to attend and vote; the share register will be closed from 22 June 2026 to 25 June 2026, inclusive.

Key matters to be put to vote include: • Approval of the 2025 annual report, the board and supervisory board work reports, the 2025 financial final accounts and budget execution report, and the 2025 profit-distribution plan. • Election of 12 non-employee directors to form the fifth board, comprising two executive directors (Xue Feng and Guo Hua), five non-executive directors, and five independent non-executive directors. • Endorsement of the 2026 board work plan, the 2026 financial budget, and appointment of the 2026 external auditors. • Amendments to the Directors Nomination and Election Measures.

Dividends: If the 2025 profit-distribution plan is approved, the final dividend will be distributed on or before 25 August 2026 to shareholders on record as of 7 July 2026. To determine dividend entitlements, the share register will be closed from 2 July 2026 to 7 July 2026.

Proxy and registration details: • H-shareholders must lodge transfer documents with Computershare Hong Kong Investor Services by 16:30 on 18 June 2026 to qualify for AGM attendance. • Proxy forms must reach the registrar (H shares) or the bank’s board office (domestic shares) by 15:00 on 24 June 2026.

Informational reports: The meeting will also hear the 2025 assessment of substantial shareholders, an update on related-party transactions, and an explanation of the composition and candidate selection process for the new board.

The AGM is scheduled to last no more than half a day; shareholders are responsible for their own travel and accommodation expenses.
