Cloudbreak Pharma Inc. announced that, effective 17 July 2026, Ms. Fung Nga Fong has resigned from her roles as Company Secretary and Authorised Representative under both the Hong Kong Listing Rules and the Companies Ordinance. Ms. Fung confirmed there is no disagreement with the Board and no other matters requiring shareholder or Stock Exchange attention.

Simultaneously, the Board appointed Ms. Tsang Ngo Yin to succeed Ms. Fung as Company Secretary and Authorised Representative. Ms. Tsang brings more than 20 years of experience spanning regulatory compliance, corporate finance, company secretarial functions, internal controls, auditing, and financial management. Her academic credentials include a Bachelor of Business Administration from Simon Fraser University, a Bachelor of Laws from Tsinghua University, and a Master of Laws in International Corporate and Financial Law from the University of Wolverhampton. She is a member of both the American Institute of Certified Public Accountants and the Hong Kong Institute of Certified Public Accountants, and currently serves as company secretary of HG Semiconductor Limited (stock code 6908).

The Board expressed gratitude to Ms. Fung for her contributions during her tenure and extended a formal welcome to Ms. Tsang. The company’s board composition remains unchanged following this transition.
