NetDragon Websoft Holdings Limited (NetDragon) disclosed a supplemental update to its 2025 Annual Report, detailing a share-based award to Executive Director Dr. Leung Lim Kin Simon.
On 2 April 2025, NetDragon granted 0.36 million ordinary shares to Dr. Leung at a nil purchase price. The award vests in three equal tranches of 0.12 million shares each:
• The first tranche vested on the grant date, recognising Dr. Leung’s past contributions. • The second and third tranches will vest on the first and second anniversaries of the grant, subject to continued employment and satisfactory annual performance appraisals linked to the Group’s business and financial targets.
Unvested shares will lapse if Dr. Leung ceases employment within the Group, if his employing entity ceases to be a subsidiary, or if NetDragon is wound up.
The Remuneration Committee noted that: 1. A vesting period of less than 12 months is permitted under the 2024 Share Award Scheme. 2. The award aims to sustain Dr. Leung’s long-term commitment and incentivise future performance. 3. Aggregate share awards to Dr. Leung over the 12-month period up to and including the grant date remain below 1 % of NetDragon’s issued share capital.
The Board stated that the supplemental information does not impact any other disclosures in the 2025 Annual Report, all of which remain unchanged.
