China Daye’s Subsidiary Disposal Wins 100% Minority Support at Special General Meeting

China Daye Non-Ferrous Metals Mining Limited (“China Daye”) announced that shareholders at the 14 August 2026 Special General Meeting (SGM) approved the disposal of 100% equity in a wholly-owned subsidiary. The sole ordinary resolution—authorising the Agreement and all related transactions—was passed by poll with 103.50 million votes (100.00%) in favour and none against.

The SGM was held at The Mira Hong Kong, with Hong Kong branch share registrar Tricor Investor Services Limited acting as scrutineer. Of the company’s 17.90 billion issued shares, the Parent Company, holding 11.96 billion shares (66.85%), abstained from voting pursuant to Listing Rules. Consequently, 5.93 billion shares were eligible to vote; the supporting votes cast represented approximately 1.74% of that free-floating total, comfortably surpassing the simple majority threshold.

China Daye’s board currently comprises two executive directors—Chairman Mr. Xiao Shuxin and Mr. Li Haibo—alongside three independent non-executive directors: Ms. Liu Fang, Mr. Wang Qihong and Mr. Kong Hua. All directors attended the SGM via electronic means.

With formal shareholder consent secured, the company is positioned to proceed with the approved disposal in accordance with the terms set out in its 18 June 2026 announcement and 31 July 2026 circular.
