VOICECOMM (02495) has announced that on April 10, 2026, the company entered into Subscription Agreement B with subscriber Mr. Yang Minghuan. Under the agreement, the company conditionally agreed to allot and issue, and the subscriber conditionally agreed to subscribe for, 2.0294 million Subscription Shares B at a price of HK$46.3 per share. The 2.0294 million Subscription Shares B to be allotted and issued represent approximately 5.71% of the company's existing issued share capital of 35.5242 million shares as of the date of this announcement. Assuming no other changes to the total number of issued shares from the announcement date until the completion of Subscription B, the shares represent approximately 5.40% of the company's enlarged issued share capital of 37.5536 million shares. The total gross proceeds from Subscription B are expected to be approximately HK$94 million, with net proceeds of approximately HK$93.6 million. Separately, on April 10, 2026, the company entered into a Second Supplemental Agreement A with subscriber A, State Fortune Global Strategic LPF, to adjust the number of Subscription Shares A from 6.73 million to 4.1348 million, and to extend the final deadline for Subscription A to May 8, 2026, or another date as may be agreed between the company and subscriber A. The board of directors believes that Subscription B will strengthen the group's financial position, broaden the company's shareholder and capital base, and support its long-term development and business growth in the conversational AI sector. In particular, the directors are confident that the subscription will further enhance the company's technological edge and commercial implementation capabilities in the enterprise-grade interactive AI field.
