Yum China trims share count; repurchase tally reaches 0.45 % of outstanding stock

Yum China Holdings, Inc. (Yum China) disclosed fresh capital-return activity for 3 June 2026 under Hong Kong Stock Exchange Rule 13.25A.

Key points

• Net share reduction. 69,006 ordinary shares were bought back on 2 June (U.S. trading day) and cancelled on 3 June at an average USD 43.47. After issuing 58 new shares to settle employee incentives at USD 42.94, the outstanding share count fell to 347.83 million, down 68,948 shares from the prior balance.

• Ongoing automatic buy-backs. A further 69,464 shares were repurchased on the NYSE on 3 June at prices ranging from USD 42.66 to USD 43.54, costing USD 3.00 million. On the same date, 23,050 shares were bought in Hong Kong at HKD 333.40–340.00, totaling HKD 7.73 million (about USD 0.99 million). All of these shares are awaiting cancellation.

• Cumulative yet-to-be-cancelled stock. Including Hong Kong purchases carried out between 13 March and 3 June, 1.55 million shares are pending cancellation—equivalent to approximately 0.45 % of the 347.90 million shares outstanding at the start of the period.

• Repurchase mandate utilisation. Since shareholders renewed the mandate on 28 May 2026, Yum China has bought back 461,284 shares, representing 0.13 % of shares outstanding when the mandate was granted. The company is authorised to repurchase up to 34.66 million shares.

These actions reflect Yum China’s continued use of both its NYSE and HKEX listings to execute buy-backs through pre-established Rule 10b5-1 and Hong Kong automatic repurchase programmes.
