CHINA SUNTIEN GREEN ENERGY CORPORATION (00956) has entered into a share transfer agreement with Hebei Construction & Investment Group Co., Ltd. on April 28, 2026. Under the agreement, the company will sell, and Hebei Construction & Investment will acquire, a 55% equity interest in Hebei Gas Co., Ltd. for a consideration of RMB 24.62295 million.

As of the date of this announcement, Hebei Gas is a non-wholly owned subsidiary of the company, with CHINA SUNTIEN and Hebei Construction & Investment holding 55% and 45% of its equity, respectively. Upon completion of the disposal, the company will no longer hold any equity interest in Hebei Gas.

The divestiture is expected to enhance the operational performance and overall profitability of the group, supporting its sustainable development in the future. Furthermore, as Hebei Construction & Investment is an existing shareholder of Hebei Gas and possesses the capability to support its non-profit operations, such as rural coal-to-gas supply assurance, the disposal will also contribute to the sustained and stable operation of Hebei Gas.
