Virscend Education Repurchases 2.40 Million Shares, Lifting Treasury Stock to 47.97 Million

Virscend Education Company Limited (HKEX: 01565) disclosed on 31 July 2026 that it bought back 2.40 million ordinary shares on-market the same day at HKD 0.186 per share, for a total consideration of HKD 0.45 million.

The repurchase reduced the company’s issued share capital (excluding treasury shares) by 0.08%, from 3.04 billion to 3.04 billion shares, while increasing treasury shares from 45.57 million to 47.97 million. All repurchased shares were retained as treasury stock; no cancellations have been executed.

The transaction falls under the general mandate approved on 23 January 2026, which authorises repurchases of up to 308.88 million shares. To date, Virscend Education has repurchased 47.97 million shares under this mandate, representing 1.55% of the company’s issued share capital as at the mandate date.

Pursuant to Hong Kong listing rules, the company is subject to a moratorium on issuing new shares or disposing of treasury shares until 30 August 2026.
