GigaDevice Unveils 10-Year H Share Incentive Plan; Up to 70.17 Million Shares Earmarked for Awards

GigaDevice Semiconductor Inc. released a circular detailing a proposed 2026 H Share Award Scheme that will be put to a shareholder vote at an extraordinary general meeting (EGM) on 9 September 2026 in Beijing.

Key terms • Scheme scale: A maximum of 70.17 million H shares—10% of the 701.75 million issued shares as at the latest practicable date—may be used for awards. • Service-provider sublimit: Within the overall pool, up to 7.02 million shares (1% of issued share capital) can be granted to external service providers. • Share source: Awards may be satisfied with newly issued H shares, transferred treasury shares or shares purchased on-market by an independent trustee. • Duration: The plan will run for 10 years from the date of adoption. • Vesting: Unless specific exceptions apply, each award will carry a minimum vesting period of 12 months. Performance targets and other conditions can be imposed at the Board’s discretion. • Eligibility: Directors (excluding independent non-executives), senior management, employees, related-entity staff and certain long-term service partners are eligible. • Authorisation: Shareholders will be asked to delegate wide administrative powers to the Board or its authorised persons, including the ability to grant awards, set purchase prices, amend vesting conditions and handle share allotments.

Meeting timetable • Record date: 3 September 2026. • Register closure: 4–9 September 2026 (both days inclusive). • Proxy deadline: 2:30 p.m. on 8 September 2026. • EGM: 2:30 p.m. on 9 September 2026 at Cheng’ao Building, Chaoyang District, Beijing.

Resolutions Shareholders will vote on: 1. Adoption of the 2026 H Share Award Scheme. 2. Approval of the 10% scheme limit. 3. Approval of the 1% service-provider sublimit. 4. Authorisation for the Board and/or authorised persons to administer the scheme and handle related matters.

If approved, the scheme will give GigaDevice a long-term equity incentive platform designed to attract, motivate and retain key contributors while aligning their interests with those of shareholders. The company has no current plan to grant awards before formal adoption.
