Beisen reshuffles board: Zhao Feng appointed INED; Ge Ke steps down

Beisen Holding Limited announced a board restructuring effective 29 July 2026, marked by the resignation of Independent Non-Executive Director (INED) Ge Ke and the simultaneous appointment of Zhao Feng as his successor.

Ge Ke, who also chaired the Remuneration Committee and sat on the Audit, Nomination and Sustainability Committees, resigned due to work commitments. The outgoing director confirmed no disagreement with the board and no issues requiring shareholder attention. The board expressed gratitude for his governance contributions.

Incoming INED Zhao Feng, aged 50, assumes Ge’s former roles—chair of the Remuneration Committee and memberships on the Audit, Nomination and Sustainability Committees. Zhao’s background spans senior trading and management positions at BOC International, Deutsche Bank, Credit Suisse, Nomura Singapore and Astignes Capital Asia, as well as leadership roles in new-energy and semiconductor ventures in China. He holds dual bachelor’s degrees in materials science and law, plus a master’s degree in finance, all from Tsinghua University, and serves as an industry mentor at the university’s PBC School of Finance.

Zhao has signed a three-year appointment letter commencing 29 July 2026, with an annual director’s fee of RMB0.24 million and a two-month notice period for termination. As of the announcement date, he beneficially owns 595,000 Beisen shares. The board confirmed his independence under Rule 3.13 of the HKEX Listing Rules.

Following the changes, Beisen’s board consists of three executive directors—Wang Zhaohui (Chairman), Ji Weiguo and Liu Xianna—and three independent non-executive directors—Du Kui, Zhao Hongqiang and the newly appointed Zhao Feng.
