Vision Synergy held its 2026 Annual General Meeting on 9 June 2026, with shareholders casting their votes exclusively by poll. All six ordinary resolutions were passed with 99.999997% support, while only 28 votes were recorded against each motion.
A total of 1.42 billion shares were in issue on the meeting date, and 994.02 million votes were cast, representing roughly 70% of the outstanding share capital.
Key resolutions approved:
• Adoption of the audited consolidated financial statements for the year ended 31 December 2025 and the accompanying directors’ and auditors’ reports.
• Re-election of independent non-executive directors Mr. Huang Zhongquan and Ms. Ha Sze Wan, and authorisation for the board to determine directors’ remuneration.
• Re-appointment of PKF Hong Kong Limited as external auditor, with the board authorised to fix its remuneration.
• Grant of a general mandate allowing the board to repurchase up to 10% of the company’s issued shares (excluding any treasury shares).
• Grant of a general mandate permitting the board to allot, issue and deal with additional shares up to 20% of issued share capital, plus an extension that increases this limit by the number of shares actually repurchased under the buy-back mandate.
All directors attended the AGM in person or via electronic communication. Union Registrars Limited acted as the independent scrutineer for vote-counting.
Following the meeting, Vision Synergy’s board continues to comprise Executive Director and CEO Dr. Hiroshi Kaneko, Non-executive Director Mr. Chung Ho Wai Alan, and Independent Non-executive Directors Mr. Huang Zhongquan, Ms. Tang Ying Sum and Ms. Ha Sze Wan.
