XJ International provides supplemental details on 2026 connected-transactions framework with Tequ Education

XJ International Holdings Co., Ltd. (01765.HK) has released additional information on the 2026 Framework Agreement signed on 30 March 2026 between group member Hope Education and Tequ Education for campus-based services.

The agreement covers the use of school land, buildings and ancillary facilities for three activities—driving school operations, school canteens and vocational training—rendered to students within Hope Education’s campuses. All resulting cooperation fees are classified as “other income” for the group.

Pricing mechanisms: • Rent for driving-school and vocational-training premises is determined after benchmarking at least three comparable market rentals, with vocational-training rent set above the average level in the same building. • Utility fees (electricity, water and heating) are calculated monthly using historical consumption plus a fluctuation range of 1%–5%. • Resources-usage fees for canteens equal 5%–10% of pre-tax turnover.

Payment terms stipulate monthly settlement by bank transfer from Tequ Education or its subsidiaries.

Strategic rationale cited by the board includes service continuity for students, cost avoidance from supplier changes and enhanced quality control compared with using independent third-party providers.

Internal controls feature multi-level oversight: regular connected-party monitoring, cross-departmental review of pricing and annual caps, independent non-executive director approval for changes, market-data checks by the business unit, and annual reviews by INEDs and external auditors under Listing Rule 14A.56.

Apart from the above clarifications, all other disclosures in the original 30 March 2026 announcement remain unchanged.
