Addvalue Technologies answers shareholder queries ahead of Jul, 30 2026 AGM

Addvalue Technologies Ltd on Jul, 24 2026 released a detailed appendix addressing questions from shareholders and the Securities Investors Association (Singapore) relating to materials for its upcoming annual general meeting scheduled for Jul, 30 2026.

The company said it is assessing “internally generated cash flow, project or customer-linked funding, strategic partnerships, grants or other financing arrangements, as well as capital-market transactions” to support growth and research and development. It did not disclose forward-looking R&D spending levels but reiterated a “disciplined” approach to resource allocation.

Management confirmed that the inter-satellite data relay system (IDRS) business currently serves “more than 20” customers and remains core to the group’s space-connectivity strategy. A proposed spin-off and initial public offering of wholly owned subsidiary Addvalue Solutions on Nasdaq is still “subject to regulatory approvals, market conditions, due diligence, shareholder approval and other customary requirements”. The board said it expects to keep AVS as a subsidiary for the next few years and will announce details, including valuation and retained stake, once finalised.

Addvalue Technologies reported a return to profitability in the financial year ended Mar, 31 2024 and maintained positive results in FY2025 and FY2026. The board’s near-term priority is to strengthen working capital and financial resilience; dividends will be considered only when earnings stability is assured. The group began share buybacks on Jul, 15 2026 after becoming debt-free following the conversion of outstanding convertible securities earlier in the year.

On its Advanced Digital Radio (ADR) segment, the company plans to transition from supplying hardware to offering “AI-augmented” mission-critical wireless intelligence platforms, aiming to increase recurring revenue from software, services and licensing.

Addvalue also outlined risk-management measures for supply-chain disruptions and customer concentration, noting that it works with multiple clients in the ADR business and monitors supplier dependencies. Two independent directors appointed on Oct, 14 2025 — Kelvin Chow and Gwendolyn Gn — were selected to bolster expertise in technology strategy, commercialisation and governance.

The board cautioned that certain comments in its responses are forward-looking and subject to economic, geopolitical and industry risks, including the Ukraine conflict, global inflation and potential supply-chain constraints.
