At the Annual General Meeting held on 6 August 2026, Dickson Concepts (International) Limited secured shareholder approval for every item on its agenda. All seven ordinary resolutions—ranging from receipt of FY-2025/26 financial statements to the authorisation of fresh share-issue and repurchase mandates—were passed by poll.
A total of 386.06 million ordinary shares were eligible to vote. Tricor Investor Services acted as the scrutineer.
Key outcomes:
• Financial statements and auditor’s report: 99.97 % of votes cast (255.58 million) were in favour, confirming the FY-2025/26 results. • Final dividend: unanimous support, with 255.66 million votes for and none against. • Board composition: – Johnny Pollux Chan re-elected with 94.66 % approval. – Bhanusak Asvaintra re-elected with 94.75 % approval. – Patricia Lam re-elected with 99.98 % approval. • Directors’ fees: 99.92 % approval. • Reappointment of KPMG as independent auditor and authority to fix remuneration: 99.94 % approval. • General mandates: – Issuance mandate covering additional shares (excluding any treasury shares) achieved 94.61 % support. – Share repurchase mandate achieved 99.99 % support. – Extension of issuance mandate by the amount of repurchased shares matched the 94.61 % approval level.
All directors attended the meeting in person or electronically, except Eugene Michael Fung. The board continues to comprise Acting Chairman Johnny Pollux Chan, Chief Operating Officer Pearson Guanda Poon, Executive Director Gary Lau, and four Independent Non-Executive Directors.
The successful passage of the resolutions affirms shareholder backing for Dickson Concepts’ dividend distribution, board composition, and capital management flexibility heading into the new financial year.
