Toku Ltd. shareholders back all resolutions at first post-listing AGM

Toku Ltd. announced that all 13 ordinary resolutions were approved at its Annual General Meeting held on Apr, 27 2026.

The meeting adopted the Directors’ Statement and audited financial statements for the year ended Dec, 31 2025, with 283.2 million votes (100.00%) cast in favour.

Shareholders re-elected five directors—Tan Hwee Hua, Laboulle Thomas Patrick M., Pebble Sia Huei-Chieh, Doshi Bhavik Umesh and Stevens Vincent Francois. Support for each re-election exceeded 99.98%, except for Tan Hwee Hua’s re-election, which secured 99.98% approval on 242.7 million votes.

The AGM endorsed directors’ fees of 10.684 million Singapore dollars for FY2025 and 162,500 Singapore dollars for FY2026, both gaining 100.00% support from voting shares.

Forvis Mazars LLP was re-appointed as external auditor until the next AGM, receiving unanimous approval.

Shareholders also granted the board authority to issue new shares under the general mandate, with 100.00% support on 283.2 million votes, and approved the introduction of the Toku Employee Share Option Scheme and the Toku Performance Share Plan, each garnering more than 96% approval.

Finally, a share buyback mandate allowing the purchase of up to 10% of issued shares, at up to 105% of the average closing price for on-market purchases and 120% for off-market purchases during the defined period, was passed unanimously.

The meeting was adjourned at 10:18 a.m. and the company has released the detailed poll results via SGXNet.
