CSC Financial unveils 2025 results, proposes higher cash dividend and outlines 2026 investment & related-party caps ahead of 26 June AGM

CSC Financial (CSC) released its 2025 AGM circular on 5 June 2026, detailing operating data, dividend policy and key resolutions to be tabled on 26 June 2026 in Beijing.

Financial highlights • 2025 consolidated operating revenue reached RMB23.32 billion, while net profit attributable to equity holders came in at RMB9.44 billion. • Total assets stood at RMB676.82 billion and equity attributable to shareholders at RMB119.10 billion, delivering a return on weighted average equity of 10.51%.

Dividend proposal • A final cash dividend of RMB1.75 per 10 shares (tax inclusive) is proposed, based on 7.76 billion shares outstanding. • Together with the interim dividend of RMB1.65 per 10 shares paid in 2025, total cash dividends for the year will reach RMB2.64 billion, equal to 31.24% of 2025 consolidated net profit attributable to shareholders (after stripping out perpetual bond interest). • Ex-dividend dates: register closes 4-9 July 2026; record date 9 July 2026; payment expected on or about 20 August 2026.

Capital allocation & risk limits • For 2026 the Board seeks shareholder approval to cap proprietary investments at: – ≤80% of parent-level net capital for equity securities and related derivatives; – ≤400% of parent-level net capital for non-equity securities and related derivatives.

Expected 2026 related-party transactions (RMB, rounded) • Beijing Financial Holdings Group & acting-in-concert parties: income ≤30 million; expenses ≤10 million. • BSAM: income ≤300 million; expenses ≤10 million. • Jincai Fund: income ≤150 million; expenses ≤10 million. • Jinkong Capital: income ≤50 million; expenses ≤10 million. • China Jianyin Investment: income ≤50 million; expenses ≤10 million. • JIC Trust: income ≤200 million; expenses ≤300 million. • China CITIC Bank: income ≤7.00 billion; expenses ≤2.00 billion. • CITIC Bank International: income ≤1.00 billion; expenses ≤1.20 billion. Shareholders with conflicts of interest will abstain from voting on the respective sub-resolutions.

Renewal of framework agreement CSC plans to renew its Securities & Financial Products Transactions and Services Framework Agreement with Beijing Financial Holdings Group for one year, with up to two automatic one-year renewals, covering trading, financing and service activities on normal commercial terms.

Audit & governance • KPMG Huazhen LLP and its overseas member firm are nominated as 2026 financial and internal-control auditors; annual fees capped at RMB3.83 million. • A new Remuneration Management System—covering total payroll, performance assessment, deferral and claw-back mechanisms—will be put to shareholder vote.

AGM logistics • Shareholders of record on 26 June 2026 may attend the meeting; the H-share register will be closed 23-26 June 2026. • Eleven ordinary resolutions, including the 2025 Board work report, annual report and profit distribution plan, will be voted by poll.
