STAR CM Schedules 29 July 2026 EGM to Approve RMB 266 Million Asset Swap with Shanghai Affiliates

STAR CM Holdings Limited has convened an Extraordinary General Meeting (EGM) for 29 July 2026 at 10:00 a.m. in Shanghai to seek shareholder approval for a restructuring agreement signed on 2 June 2026.

Key resolution • Shareholders will vote on a single ordinary resolution authorising and ratifying the “Restructuring Agreement” between STAR CM subsidiaries and related parties—including Mengxiang Qiangyin, Binjiang Group, Lianke Shenhuo, Shanghai Binqiao, SH Shengshi Chuangtuo, SH Binxing, SH Xingkongshui’an and SH Yangshupu.

Principal transaction terms 1. Disposal: – Transfer of the Group’s entire equity interest in Shanghai Binqiao and assignment of a shareholder loan from Mengxiang Qiangyin to Shanghai Binqiao, totalling approximately RMB 266.59 million.

2. Acquisition: – Purchase of 100% equity interest in SH Xingkongshui’an and assignment of Shanghai Binqiao’s loan receivable from SH Xingkongshui’an, together amounting to approximately RMB 266.13 million.

Board authorisation The Board seeks approval for directors to execute all documents and take all actions necessary to implement the restructuring, including any amendments they deem desirable.

Logistics and voting • Record date: Share transfers must be lodged by 4:30 p.m. on 28 July 2026 to qualify for voting. • Proxy deadline: 10:00 a.m. on 27 July 2026 at Tricor Investor Services Limited, Hong Kong. • Voting method: All resolutions will be decided by poll in accordance with Hong Kong Listing Rule 13.39(4).

Governance context The Board currently comprises six executive directors—Mr. Tian Ming (Chairman and CEO), Mr. Jin Lei, Mr. Xu Xiangdong, Mr. Lu Wei, Ms. Wang Yan and Ms. Shen Ning—and three independent non-executive directors: Mr. Li Liangrong, Mr. Chen Rehao and Mr. Sheng Wenhao.

Shareholders’ approval of the proposed restructuring will authorise management to proceed with the asset swap, aligning STAR CM’s equity holdings and inter-company loan positions within its Shanghai-based entities.
