Readboy Education to Hold AGM on 29 May 2026; Agenda Includes FY2025 Results, Board Re-elections and 10% Share Repurchase Mandate

Readboy Education Holding Company Limited will convene its 2026 Annual General Meeting (AGM) at 10:00 a.m. on Friday, 29 May 2026, at No. 38 Changyi Road, Wuguishan, Zhongshan City, Guangdong Province, PRC.

Key resolutions to be put to shareholder vote include:

1. FY2025 Financial Statements • Consideration and receipt of the audited consolidated financial statements and directors’ and auditors’ reports for the year ended 31 December 2025.

2. Board Composition and Remuneration • Re-election of Executive Directors Mr. Qin Shuguang and Ms. Liu Zhilan. • Re-election of Non-Executive Director Mr. Shen Jianfei. • Authorisation for the Board to determine directors’ remuneration.

3. Auditor Appointment • Re-appointment of Ernst & Young as external auditor and approval of its remuneration.

4. Share Repurchase Mandate • Authorisation for the Board to repurchase up to 10% of the company’s issued shares (excluding treasury shares) during the period from the AGM date until the next AGM, the statutory deadline for holding the next AGM, or revocation by shareholders, whichever occurs first.

5. Share Issuance Mandate • Authorisation to allot, issue or deal with additional shares up to 20% of issued share capital (excluding treasury shares), with flexibility to grant offers or options that may be exercised after the mandate period.

6. Extension of Issuance Mandate • Conditional extension of the 20% issuance mandate by adding the shares repurchased under the 10% buy-back mandate, capped at an additional 10% of issued share capital.

Additional Administrative Information • The shareholders’ register will be closed from 26 May 2026 to 29 May 2026 (both days inclusive). Share transfers must be lodged by 4:30 p.m. on 22 May 2026 to qualify for attendance and voting. • Proxy forms must be submitted to Computershare Hong Kong Investor Services Limited by 10:00 a.m. on 27 May 2026. • All resolutions will be decided by poll in accordance with Hong Kong Listing Rules. • The Board states it currently has no immediate plans to repurchase shares or issue new shares under the proposed mandates.

Chairman and CEO Mr. Qin Shuguang issued the notice on 23 April 2026. The Board presently comprises two Executive Directors, two Non-Executive Directors and three Independent Non-Executive Directors.
