UMS Integration Limited told investors that at its Extraordinary General Meeting held on Apr, 30 2026 in Singapore, shareholders passed three ordinary resolutions establishing new share-based incentive plans for employees.
The meeting approved the UMS Employee Share Option Scheme 2026, which allows selected employees to receive options over shares for up to 10 years. The resolution was carried with 183,466,467 votes for (53.87%) and 157,112,055 votes against (46.13%) out of 340,578,522 shares cast.
Shareholders also backed permitting the scheme’s options to be granted at discounts of up to 20 % to market price. This second resolution passed with 183,882,009 votes for (53.90%) and 157,246,980 votes against (46.10%) from a total of 341,128,989 shares voted.
In addition, investors overwhelmingly endorsed the UMS Performance Share Plan 2026, enabling the company to issue performance-based share awards. The proposal garnered 321,770,578 votes for (94.37%) and 19,191,810 votes against (5.63%) from 340,962,388 shares cast.
The company noted that employees eligible to participate in these plans abstained from voting, and all resolutions were approved by electronic poll. The meeting concluded at 12:05 p.m.
