Hainan Meilan International Airport Company Limited (Meilan Airport) will seek shareholder approval on 21 May 2026 for several key resolutions aimed at underpinning future financing flexibility and governance continuity.
1. Share-Issue Mandate • The board is requesting a 12-month general mandate to issue up to 20% of each of the company’s existing Domestic Shares and H Shares. • The mandate would allow Meilan Airport to allot, issue, or deal in new shares, and to grant related offers, options, or warrants, subject to compliance with PRC laws and Hong Kong Listing Rules and contingent regulatory approvals.
2. Dividend Policy • The board proposes no final dividend for the financial year ended 31 December 2025.
3. Auditor Re-appointment • Pan-China Certified Public Accountants LLP is proposed for re-appointment as external auditor until the conclusion of the next AGM. • The agreed audit fee for FY-2026 is approximately RMB1.50 million.
4. Director and Supervisor Remuneration (2026) • Executive directors: RMB0.07 million each (after tax). • Non-executive directors: RMB0.05 million each (after tax). • Independent non-executive directors: RMB0.10 million each (after tax). • Supervisors: RMB0.02 million each (after tax).
5. Annual Meeting & Eligibility • The AGM is scheduled for 10:00 a.m. on 21 May 2026 at the company’s headquarters in Haikou, Hainan Province. • The share register will be closed from 14 May to 21 May 2026. Shareholders on record as of 14 May 2026 may attend and vote. Proxy forms must be lodged at least 24 hours before the meeting.
All resolutions, including the proposed share-issue mandate and auditor re-appointment, will be decided by poll. The board recommends shareholders vote in favour of each resolution, citing alignment with the company’s strategic and governance objectives.
