Phillip Securities launches Singapore Depository Receipts programme

Phillip Securities Pte Ltd announced on Aug, 12 2026 that it has established an unsponsored Singapore Depository Receipts (SDR) programme, paving the way for the issuance of SDRs that will represent Non-Voting Depository Receipts (NVDRs) issued by Thai NVDR Company Limited.

The NVDRs, in turn, track shares of companies listed on the Stock Exchange of Thailand. Phillip Securities plans to apply to the Singapore Exchange Securities Trading Limited (SGX-ST) for quotation of the SDRs. The offer relies on the Securities and Futures (Offer of Investments) (Exemption for Depository Receipts) Regulations 2023, meaning no prospectus has been or will be lodged with the Monetary Authority of Singapore.

Under the programme, The Central Depository (Pte) Limited will be the registered holder of the SDRs, while Phillip Securities (Thailand) Public Co. Ltd. will act as custodian. Trading, clearing and settlement of the SDRs will follow existing SGX-ST procedures, with fees of up to S$5 per 1,000 SDRs for issuance or cancellation and distribution charges of up to 1% on cash dividends.

The issuer highlighted investment risks, including potential price volatility, foreign-exchange exposure between the Thai baht and Singapore dollar, absence of voting rights, and the possibility of trading suspensions should underlying NVDRs be halted in Thailand.
