BRETON (01333) announced that on May 11, 2026, the company entered into a transfer agreement with Shanghai CECEP Ronghe New Energy Investment Management Center (Limited Partnership), Mr. Chen Fangming, and the target company, Suzhou Junhao Electric Power Co., Ltd. Pursuant to the agreement, BRETON will use its own funds to acquire approximately 6.8246% of the equity in the target company for about RMB 13.02 million. Concurrently, Mr. Chen Fangming, as a co-transferee, will acquire approximately 2.2841% of the equity in the target company for about RMB 4.36 million under the same transaction arrangement. Upon completion of this acquisition, BRETON will hold an aggregate of 6.8246% in the target company. Suzhou Junhao will become an associate of BRETON, and its financial performance will not be consolidated into the group's financial statements.

As of the date of this announcement, Mr. Chen Fangming is a director, controlling shareholder, and ultimate beneficial owner of BRETON. Suzhou Junhao is primarily engaged in energy storage technology services, photovoltaic power generation equipment leasing and sales, solar power generation technology services, manufacturing and sales of intelligent power transmission, distribution, and control equipment, as well as research, development, and manufacturing of power distribution switchgear. Its business aligns closely with the group's strategic focus on green, low-carbon, and new energy sectors. This equity acquisition in Suzhou Junhao is expected to facilitate further integration of industrial resources, enhance the group's positioning within the new energy industry chain, strengthen technological capabilities and market competitiveness in energy storage and distributed energy, and thereby improve the group's overall profitability. The move is in line with the company's long-term development strategy.
