MiniMax Group Inc. (“MiniMax”) announced that every one of the 14 ordinary resolutions put to its 11 June 2026 annual general meeting was approved, with support ratios ranging from 99.30% to 100.00%.
The poll covered 313.64 million voting shares (232.53 million Class A; 81.10 million Class B). In line with the company’s weighted-voting structure, Class B shares carried ten votes per share for most resolutions, boosting the aggregate voting tally to 937.61 million votes.
Key governance matters passed with near-unanimity: • Receipt of the FY 2025 audited financial statements: 99.99% in favour. • Re-election of all nine directors, including Executive Director Dr. Yan Junjie, with individual approval rates between 99.89% and 99.99%. • Approval for the board to set directors’ remuneration: 99.99% support.
Ernst & Young was re-appointed as external auditor with 99.99% backing, and the board was authorised to fix its fees.
Capital authorities: • 10% share repurchase mandate: 99.99% approval. • 20% general mandate to issue, allot or transfer Class A shares: 99.30% approval (the lowest, yet comfortably above the 50% threshold). • Extension of the issuance mandate by the number of shares repurchased: 99.38% approval.
Tricor Investor Services acted as scrutineer, and all board members attended the AGM, meeting Hong Kong Listing Rule 13.39(5A) requirements.
