Cutia Therapeutics Secures Full Shareholder Support at 2026 AGM, Obtains Fresh Issue and Buy-back Mandates

Cutia Therapeutics convened its Annual General Meeting (AGM) on 26 June 2026, where shareholders overwhelmingly approved all six ordinary resolutions by poll.

The company’s 363.37 million voting shares—net of 1.36 million treasury shares—were eligible to participate. Tricor Investor Services Limited acted as scrutineer, and all board members were present in person or electronically.

Key outcomes are as follows:

1. Financial Statements and Auditor’s Report • The audited consolidated financial statements for the year ended 31 December 2025, along with the directors’ and auditor’s reports, were received with 100 % approval (191.61 million votes in favour).

2. Board Composition and Remuneration • Re-election of five directors gained strong backing, with full approval for Lu Minfang, Chung Ming Kit and Zhang Zhisong, while Yang Yunxia and Ye Xiaoxiang were re-elected with 89.10 % and 89.43 % support, respectively. • The board was authorised to fix directors’ remuneration, endorsed by 100 % of votes cast.

3. Auditor Re-appointment • Ernst & Young was re-appointed as external auditor, with the board authorised to determine remuneration; the motion passed unanimously.

4. Capital Management Mandates • Share repurchase mandate: Directors may repurchase up to 10 % of issued shares; 100 % of votes supported the resolution. • General issuance mandate: Authority to issue up to 20 % of issued shares received 99.67 % approval. • Extension mandate: The issuance limit can be increased by the number of shares repurchased under the buy-back mandate, approved by 89.11 % of votes.

The successful passage of all resolutions affirms shareholder confidence in Cutia Therapeutics’ governance and provides the board with renewed flexibility to manage capital structure through share issuance and repurchases over the coming year.
