Asian Citrus to Launch 3-for-1 Rights Issue, Targeting up to HK$61.70 Million at 28% Discount

Asian Citrus Holdings Limited has unveiled plans for a non-underwritten rights issue that could raise approximately HK$61.70 million before expenses.

Key terms • Basis: Three Rights Shares for every one existing share held on the 4 August 2026 record date. • Subscription price: HK$1.38 per Rights Share, a 28.13% discount to the 15 June 2026 closing price of HK$1.92 and a discount of 31.82% to the five-day average price of HK$2.02. • Shares to be issued: Up to 44.70 million, tripling the current share count of 14.90 million to 59.60 million if fully taken-up. • Theoretical dilution: 23.86%, within the 25% ceiling stipulated by Listing Rule 7.27B. • No excess application; Rights Issue open only to Qualifying Shareholders.

Proceeds allocation (net estimate: HK$58.50 million) 1. 57.3% (HK$33.50 million) – Purchase of temperature-controlled equipment and cold-chain facilities to enhance post-harvest handling and distribution in key PRC regions. 2. 18.8% (HK$11.00 million) – Repayment of loans and accrued interest (3.0%–11.8% p.a., maturing by December 2027). 3. 5.1% (HK$3.00 million) – Procurement of raw materials and farming consumables. 4. 18.8% (HK$11.00 million) – General working capital.

Shareholder commitments and placement mechanism Major shareholder Mr Kung (29.86% stake) will fully subscribe to his 13.35 million provisional allotment and has agreed not to dispose of his current holding prior to the record date. To prevent any mandatory general offer, the company may scale down his entitlement if the issue is undersubscribed.

Unsubscribed or non-qualifying portions will be sold through Kam Fai Securities Co., Ltd. under compensatory arrangements; any premium above subscription and placement costs will be distributed to shareholders who did not take up their rights. Placement pricing will not be below HK$1.38.

Regulatory and timing milestones • Special General Meeting (SGM): 23 July 2026; Mr Kung and associates will abstain from voting. • Shares trade ex-rights: 27 July 2026. • Record date: 4 August 2026. • Nil-paid rights trading: 7–14 August 2026. • Final acceptance deadline: 19 August 2026. • Placement window: 27 August–3 September 2026. • Listing of fully-paid Rights Shares: Expected 9 September 2026.

The Rights Issue remains subject to Independent Shareholders’ approval, regulatory clearance, and non-termination of the placing agreement. Shareholders are advised that dealings in existing shares or nil-paid Rights Shares carry the risk that the transaction may not complete if conditions are not met.
