NOVOSENSE Shareholders Endorse All 2025 AGM Resolutions; 99.90% Back H-Share Repurchase Mandate

On 19 May 2026, NOVOSENSE (Suzhou Novosense Microelectronics Co., Ltd.) convened its 2025 Annual Shareholders’ Meeting in Suzhou, combining on-site and online voting. All nine directors attended.

The company had 162.62 million issued shares, of which 1.37 million A-shares were held as treasury stock and excluded from voting. Consequently, 161.25 million shares were entitled to vote. A total of 152 shareholders or proxies representing 64.85 million shares (40.22% of voting capital) participated; 63.70 million were A-shares and 1.15 million were H-shares.

Key voting results: • Work Report of the Board for 2025 received 99.91% approval. • 2025 Profit Distribution Proposal passed with 99.90% support. • Re-appointment of domestic and overseas auditors for 2026 obtained 99.88% approval. • Bank credit facilities application garnered 99.91% support. • Director remuneration plan for 2026, after related-party abstentions, was approved with 99.69% in favour. • Resolution on unrecovered losses (exceeding one-third of paid-in capital) passed with 99.90% support. • Amendments to the remuneration management policy for directors and senior management secured 96.73% approval. • Special resolution granting a general mandate to repurchase H-shares achieved 99.90% support, comfortably above the two-thirds threshold.

Certain related parties—holding 44.34 million A-shares—abstained from voting on the remuneration-related resolutions (5 and 7) in line with regulatory requirements.

Computershare Hong Kong Investor Services acted as scrutineer, and Jia Yuan Law Offices confirmed that meeting procedures, participant qualifications and voting processes complied with PRC Company Law and the company’s Articles of Association, rendering the outcomes lawful and valid.
