The firm confirmed that no circumstances require shareholder attention, and the board reported no disagreements or unresolved matters related to the retirement.\n\nFollowing a public tender, the board—on Audit & Corporate Governance Committee recommendation—will propose the appointment of KPMG Huazhen LLP at the forthcoming AGM. If approved, KPMG Huazhen will serve from the end of that meeting until the next AGM and will undertake the audit of the Group’s consolidated financial statements for the year ending 31 December 2026.\n\nKey assessment factors for selecting KPMG Huazhen included: 1) a detailed audit plan aligned with China Accounting Standards and Hong Kong regulatory requirements; 2) market reputation and resources—247 partners and 1,412 certified public accountants, with over 330 authorised to sign securities-industry audit reports as of 31 December 2025; 3) broad listed-company and sector experience, including eight transportation peers; 4) confirmation of independence and an established quality-control framework; and 5) a negotiated audit fee of RMB4.10 million, considered commensurate with Yueyun Trans’s scale and complexity.\n\nThe board stated that BDO’s retirement will not materially affect the FY-2026 audit timetable or result announcement.
