AuGroup (SHENZHEN) Cross-Border Business Co., Ltd. has released its 2025 annual circular ahead of the Annual General Meeting (AGM) scheduled for 30 June 2026 in Shenzhen. Key items to be tabled are as follows:
Dividend Policy • The Board recommends no final dividend for the year ended 31 December 2025.
Auditor Appointment • Deloitte Touche Tohmatsu is proposed for re-appointment as external auditor for 2026. • Total service fee is capped at RMB 5.40 million, covering statutory audit, interim review, agreed-upon procedures and internal control audit.
Capital Management Mandates • General Issue Mandate: Directors seek authority to allot and issue up to 20% of the Company’s issued share capital as at the AGM date—equivalent to a maximum of 83.04 million shares based on the current 415.21 million issued shares. • Share Repurchase Mandate: Authority sought to repurchase up to 10% of H shares in issue—up to 41.48 million shares out of 414.79 million H shares outstanding. Repurchased shares may be cancelled or held as treasury stock.

The Board states that these mandates are intended to provide flexibility for future financing and capital-management activities. All resolutions will be decided by poll at the AGM.
