Jumbo Group Limited announced on Jun, 30 2026 that its wholly owned subsidiary, Jumbo F&B Services Pte. Ltd. (JFS), has signed a joint-venture and shareholders’ agreement with Laoxiangji Holdings Pte. Ltd. (LXJ) to establish and run Chinese-style quick-service restaurants under the “Lausanjee” brand in Singapore.
The partners will incorporate a new joint-venture company with an initial paid-up capital of 2.0 million Singapore dollars, of which JFS will subscribe 0.98 million Singapore dollars for a 49 percent stake while LXJ will contribute 1.02 million Singapore dollars for the remaining 51 percent.
Upon incorporation, the joint-venture company will enter a master franchise agreement with LXJ or its affiliate, granting exclusive rights to use the Lausanjee trademarks and operating system in Singapore. The board of the joint-venture company will comprise three directors, two appointed by LXJ and one by JFS, while daily operations will be managed by an appointed team.
A second development phase could see a new joint-venture entity with inverted stakes—51 percent for JFS and 49 percent for LXJ—subject to achieving pre-agreed operational and commercial milestones.
Jumbo said the investment will be funded internally and is not expected to materially affect the group’s earnings per share or net tangible assets for the financial year ending Sep, 30 2026. The company added that no directors or controlling shareholders have any interest in the transaction aside from their shareholdings in Jumbo.
