Synertone Communication Corporation will convene an extraordinary general meeting (EGM) on 8 May 2026 at 11:00 a.m. at 5/F, United Centre, 95 Queensway, Admiralty, Hong Kong. Shareholders will be asked to pass an ordinary resolution concerning a share placement and related authorisations.

Under a conditional placing agreement signed on 5 March 2026 with Arta Asset Management Limited, the company proposes to place up to 1,000,000,000 new shares at HK$0.108 per share. Full subscription would generate gross proceeds of approximately HK$108.00 million. The resolution seeks shareholder approval to ratify the agreement, grant a specific mandate to the board to allot and issue the placing shares, and authorise any director to finalise all necessary documentation and amendments.

Voting will be conducted by poll in accordance with Hong Kong Listing Rule 13.39(4). The register of members will be closed from 5 May to 8 May 2026 (both days inclusive). Share transfers must be lodged with Tricor Investor Services Limited by 4:30 p.m. on 4 May 2026 to qualify for attendance and voting.

Shareholders may appoint one or more proxies to attend and vote; completed proxy forms must be deposited at Tricor’s office at least 48 hours before the meeting. If a Typhoon Signal No. 8, “black” rainstorm warning, or designated “extreme conditions” remain in force after 7:30 a.m. on the meeting date, the EGM will be postponed, with a revised schedule to be announced on the company’s and HKEX websites.

As of the notice date (14 April 2026), the board comprises Executive Directors Han Weining and You Yiyang; Non-Executive Director Woodham Mostovaya Ekaterina; and Independent Non-Executive Directors Li Mingqi, Xu Wei and Xu Dongsen.
