WeRide Schedules 26 June 2026 AGM, Seeking Approval of FY2025 Results, Board Re-election and 20% Share Issue Mandate

WeRide Inc. (WERIDE-W, 00800) has issued the proxy form and agenda for its annual general meeting (AGM) to be held on 26 June 2026 at 10:00 a.m. in Guangzhou.

The Board will ask shareholders to adopt the audited consolidated financial statements and the reports of directors and auditors for the year ended 31 December 2025.

Seven directors are standing for re-election as separate resolutions: • Executive Directors: Dr. Tony Xu Han and Dr. Yan Li • Non-executive Directors: Mr. Ichijo Futakawa and Mr. Jean-François Salles • Independent Non-executive Directors: Ms. Huiping Yan, Mr. David Zhang and Dr. Tony Fan-cheong Chan

Shareholders will also vote on authorising the Board to determine directors’ remuneration.

The company is seeking three capital-related mandates: 1. A general mandate to allot, issue or deal in additional Class A ordinary shares and/or resell treasury shares up to 20% of the total issued share capital (excluding treasury shares). 2. Authority to repurchase Class A ordinary shares and/or ADSs up to 10% of total issued shares (excluding treasury shares). 3. An extension of the 20% issue mandate by adding the number of shares repurchased under the 10% mandate.

Finally, the Board proposes to re-appoint KPMG and KPMG Huazhen LLP as auditors until the conclusion of the next AGM, with directors authorised to set their remuneration.
