Comtec Solar Systems Group Limited disclosed in a supplemental announcement to its 8 June 2026 AGM circular that Prism Hong Kong Limited will retire at the forthcoming annual general meeting but is eligible and willing to serve another term as the Company’s auditor.

The Board, following the Audit Committee’s recommendation, will table an ordinary resolution at the AGM to: 1) re-appoint Prism Hong Kong Limited as auditor until the conclusion of the next AGM, and 2) authorise the Board to determine the auditor’s remuneration.

For the financial year ending 31 December 2026, the audit fee is estimated at HK$1.10 million to HK$1.35 million. The fee range was set after arm’s-length negotiations, taking into account historical fees, prevailing market rates, the Group’s business complexity and plans, the anticipated audit scope and timetable, and the resources required.

The estimate assumes no material changes in the Group’s operations, accounting policies, or regulatory environment, and that management will provide timely information for the audit. Should any material change arise, the Company committed to further disclosure.

The Board considers the proposed fee fair and reasonable, citing Prism’s familiarity with the Group’s financial affairs, which is expected to enhance audit efficiency. All other information in the original AGM circular remains unchanged.
